  • Advised the largest petrochemical Group in Kazakhstan on the petrochemical production project in Kazakhstan, totaling approximately $8 billion in investment. Advising on project investment contracts as well as advising on drafts of both Government Support and Intergovernmental Agreements.
  • Advised one of the largest international Telecommunications Group relating to the acquisition of local Telecom Company, including legal due diligence and drafting/negotiating Sales and Purchase Agreement.
  • Advised an international drilling rig servicing company on tax litigation, including appeal at both tax authorities and court. The appeal at the Supreme Court of Kazakhstan has been a major success, totaling at around USD 12 millions of wrongfully accrued taxes.
  • Advised one of the largest international Engineering Services company in connection with their presence expansion in Kazakhstan, including advice on and assistance with establishment of a joint venture in Kazakhstan; draft and preparation of all the relevant documents including shareholders agreement, SPA and share transfer agreement, implementation of tax, accounting and profit allocation in the foundation document as well as advice on risks and remedies for the forceful buyout and voluntary withdrawal from LLP. Advised on all tax related matters including acting and representing the branch of the company in the appeal process against tax accrual before State Revenue Authorities and in court. Appeal at the Supreme Court of Kazakhstan has been a successful totaling at around one million of wrongfully accrued taxes.
  • Advised one of the largest international media companies that provides financial software tools such as an analytics and equity trading platform, data services, and news to financial companies and organizations, a global television network, digital websites, a radio station etc. on the regulation of the provision of various professional services in Kazakhstan. Also contributed a chapter on VAT in Kazakhstan for its VAT Navigator publication.
  • Advised an international global professional accounting body offering the Chartered Certified Accountant qualification, with developing a template employment agreement, advised as to review and amendment to existing employment agreements and internal policies as to maternity, performance evaluation, disciplinary and sickness absence policies to bring the company into compliance with new employment laws.
  • Advised one of the largest Swedish industrial companies on tax and customs related matters, represented them before the tax and customs authorities of Kazakhstan, including by preparing all relevant documents and forms. Advised one of the largest German confectionary companies with respect to contractual issues and dispute resolution.
  • Advised one of Kazakhstani’s oldest, largest, and successful brewing companies on the tax consequences and accounting entries with respect to several transactions, including redemption of part of their shares held by a private shareholder in a brewery company in exchange for shares in a bank held by the brewery and sale of majority shareholding by the same private shareholder to an investor in the brewery.
  • Advised an official and exclusive distributor of several major North American manufacturers in mining, exploration, welding, and laser, relating to recovery of the depreciation losses from the debtor in the pre-court proceedings.
  • Advised a Kazakh beverage producing company on IPO’s advantages and disadvantages as well as steps and procedures for IPO preparation for the listing on official stock exchanges both in Kazakhstan and in the UK, including on Alternative Markets.
  • Advised a large Russian brewery company on the sale of assets including legal due diligence and drafting/negotiating Sales and Purchase Agreement.
  • Advised a Kazakhstani National Fund and companies in the Energy Sector relating to acquisition of Subsoil Use Company including legal Due Diligence.
  • Advised a major Kazakhstani Gas and Oil Company relating to acquisition of transport, servicing, oil and gas companies including legal due diligence and review and negotiation of Sales and Purchase Agreement.

Advised a major international shipping company relating to establishment of subsidiary company in Kazakhstan, including support with registration procedures, advice on various issues of corporate laws and assistance with financial loan agreements draft.
  • Advised a major Kazakhstani Subsoil Use Holding Company relating to the sale of assets including legal due diligence of the targeted assets.
  • Advised a large Canadian helicopter company on tax, customs and employment issues in Kazakhstan, including drafting arbitration agreements and advising on matters of governing laws of contract and on the various options of the forum and seat of arbitration, liaising with potential arbitration tribunal and preparation of documents for arbitration procedure.
